Mutual vs one-way NDAs
If both parties disclose sensitive data, a mutual NDA is standard. One-way NDAs favour the drafter: push for mutuality when you contribute product, pricing, or strategy insights.
Survival and residuals
Confidentiality should survive 3-5 years after talks end. Check for overly broad definitions that cover public information or your general skills. Residual knowledge clauses can swallow protections: flag them in review.

- Mutual obligations (unless only you receive info)
- Clear purpose limitation: not perpetual blanket secrecy
- Standard exclusions (public, prior knowledge, independent dev)
- Survival period is defined (not indefinite)
- Return/destruction timeline on request
- No hidden non-compete or non-solicit inside the NDA
