Mutual vs one-way NDAs
If both parties disclose sensitive data, a mutual NDA is standard. One-way NDAs favour the drafter — push for mutuality when you contribute product, pricing, or strategy insights.
Survival and residuals
Confidentiality should survive 3–5 years after talks end. Check for overly broad definitions that cover public information or your general skills. Residual knowledge clauses can swallow protections — flag them in review.

- Mutual obligations (unless only you receive info)
- Clear purpose limitation — not perpetual blanket secrecy
- Standard exclusions (public, prior knowledge, independent dev)
- Survival period is defined (not indefinite)
- Return/destruction timeline on request
- No hidden non-compete or non-solicit inside the NDA
